
Rose Affiliate Program Terms & Conditions

These Terms & Conditions (“Terms”) govern participation in the Women’s Wellth 360 (“WW360”) Rose Affiliate Program (“the Program”). By enrolling in the Program, you (“Affiliate”) acknowledge and agree to be legally bound by these Terms.
1. Enrollment, Fees & Automatic Renewal
1.1 Enrollment in the Program requires payment of the non-refundable annual Program fee (“Program Fee”).
1.2 The Program Fee is subject to change at WW360’s discretion.
1.3 Automatic Renewal:

The Program Fee will automatically renew each year on the anniversary of enrollment unless the Affiliate provides written notice of cancellation at least 30 days prior to the renewal date.

By enrolling, Affiliate authorizes WW360 or its payment processor to automatically charge the Program Fee annually using the payment method on file.
1.4 Submission of an application does not guarantee acceptance. WW360 may approve or deny any application at its sole discretion.
1.5 Affiliates must provide accurate and complete information and promptly update WW360 regarding any material changes.
2. Affiliate Obligations & Required Discounts
2.1 Affiliates must provide WW360 Dahlia Members a discount of no less than ten percent (10%) on eligible products and/or services.
2.2 Free introductory services may count toward this obligation only if an ongoing discount of at least 10% is still provided.
2.3 Affiliate is solely responsible for creating, managing, and honoring discount codes.
2.4 Failure to meet discount requirements constitutes grounds for immediate removal from the Program.
3. Program Benefits
Subject to compliance with these Terms, Affiliates may receive:

Your business listed in the WW360 online Business Directory,
-
Access to the private WW360 Facebook group. And
-
Featured in the WW360 Podcast
WW360 does not guarantee traffic, sales, referrals, visibility, or any specific level of engagement.
4. Termination
4.1 WW360 may suspend or terminate an Affiliate at any time, with or without cause, including but not limited to:
-
Nonpayment of the Program Fee;
-
Conduct inconsistent with WW360 values or professionalism;
-
Misleading, unethical, or deceptive promotional behavior;
-
Violation of these Terms or any WW360 policy.
4.2 Upon termination, Affiliate will be removed from the WW360 Business Directory and all WW360 promotional platforms.
4.3 Termination does not entitle Affiliate to any refund of paid fees.
5. Limitation of Liability
5.1 WW360 shall not be liable for:

Technical issues or service interruptions;
-
Lost income, customers, business opportunities, or reputational harm;
-
Indirect, incidental, special, consequential, or punitive damages.
5.2 Participation is voluntary and at the Affiliate’s own risk.
6. Indemnification
Affiliate agrees to indemnify, defend, and hold harmless WW360, its owners, employees, contractors, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney’s fees) arising out of or related to:

Affiliate’s products, services, conduct, or business practices;

Affiliate’s violation of these Terms;
-
Any misleading, inaccurate, or unlawful representation made by Affiliate;

Affiliate’s interactions with WW360 members, clients, or the public.
This obligation survives termination of participation in the Program.
7. Program Modifications
WW360 may modify, amend, suspend, or discontinue any aspect of the Program or these Terms at any time.
Continued participation after such changes constitutes acceptance of the updated Terms.
8. Arbitration Agreement
8.1 Mandatory Arbitration:
Any dispute, claim, or controversy arising out of or relating to the Program or these Terms shall be resolved exclusively through binding arbitration, rather than in court.
8.2 The arbitration shall be conducted by a mutually agreed-upon arbitrator or, if none is agreed, by an arbitrator appointed under the rules of the American Arbitration Association (AAA).
8.3 Arbitration shall take place in Arkansas, unless otherwise mutually agreed.
8.4 Each party shall bear its own legal fees unless otherwise determined by the arbitrator.
8.5 Waiver of Class Actions:
The Affiliate agrees that arbitration shall be conducted on an individual basis only, and not as a class, representative, or collective action.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Arkansas, without regard to conflict-of-law principles.
10. Agreement
By enrolling in the Program and paying the annual Program Fee, the Affiliate acknowledges and agrees that:

They have read, understand, and accept these Terms;

They consent to the automatic renewal terms;
-
They agree to the indemnification and arbitration provisions;
-
They accept all risks associated with participation.
